1. Introduction
These Terms and Conditions (“Terms”) govern the relationship between Ahmad Digital Agencies (Pty) Ltd (“we”, “us”, “our”), trading as Ahmad Creates, and any client or website visitor (“you”, “the client”) who engages our services or uses our website. By engaging our services or using this website, you confirm that you have read, understood, and agree to be bound by these Terms.
2. Our Services
Ahmad Digital Agencies (Pty) Ltd provides the following services:
- Website design and development
- E-commerce website design and development
- Brand identity and logo design
- Related creative and digital services as agreed upon in writing
The specific scope of services for each project will be confirmed in a written proposal or agreement provided to the client before work commences.
3. Quotes and Proposals
All quotes and proposals are valid for 14 days from the date of issue unless otherwise stated. A quote does not constitute a binding agreement. Work will only commence once the client has accepted the proposal in writing (email acceptance is acceptable) and the required deposit has been received.
Prices listed on our website are starting prices only. Final project pricing is determined by the specific scope, complexity, and requirements confirmed during the discovery call and proposal stage.
4. Payment Terms
4.1 Deposit: A non-refundable deposit of 50% of the total agreed project fee is required before any work commences. This deposit secures your project slot and covers the initial research, planning, and design phases.
4.2 Final Payment: The remaining 50% of the total project fee is due upon project completion, before final files, website access, or brand assets are handed over to the client.
4.3 Late Payments: If final payment is not received within 7 days of the completion notice, Ahmad Digital Agencies (Pty) Ltd reserves the right to withhold delivery of final files and/or suspend the live website until payment is settled.
4.4 Accepted Payment Methods: Payment is accepted via EFT, Instant EFT, Debit Card, Visa, and Mastercard.
4.5 Currency: All prices are quoted in South African Rand (ZAR) unless otherwise agreed in writing for international clients.
5. Project Process and Client Responsibilities
5.1 Upon payment of the deposit, you will be required to complete a detailed project brief and provide all necessary content, including text, images, logos, brand assets, and any other materials required for the project.
5.2 Timely feedback and communication from the client is essential. Project timelines are dependent on how quickly the client provides content, feedback, and approvals. Delays caused by the client may result in revised delivery timelines.
5.3 You are responsible for ensuring that all content, images, and materials you provide are owned by you or that you have the legal right to use them. Ahmad Digital Agencies (Pty) Ltd accepts no liability for copyright infringement resulting from client-supplied materials.
5.4 You agree to provide honest, accurate information about your business and project requirements. Withholding material information that affects the scope of the project may result in additional charges.
6. Revisions
Each package includes a specified number of revision rounds as outlined in your proposal. A revision is defined as a set of minor changes submitted together in one feedback round — not individual change-by-change requests.
Revisions that fall outside the agreed scope, represent a significant change in direction, or exceed the included rounds will be charged at an additional rate communicated to you before the work is carried out. Major redesigns requested after a concept has been approved will be treated as a new project scope and quoted accordingly.
7. Timelines and Delivery
7.1 Estimated timelines are provided in good faith and are dependent on the client providing content, feedback, and approvals in a timely manner.
7.2 Standard project timelines are 2–3 weeks for websites and brand identity projects from the date work commences (not the date of deposit payment).
7.3 Ahmad Digital Agencies (Pty) Ltd is not liable for delays caused by third parties, including hosting providers, payment gateway setups, domain registrars, or client delays in providing content or approvals.
8. Intellectual Property and Ownership
8.1 Upon receipt of full and final payment, all intellectual property rights for the final delivered work transfer to the client. Until full payment is received, all work remains the intellectual property of Ahmad Digital Agencies (Pty) Ltd.
8.2 Ahmad Digital Agencies (Pty) Ltd retains the right to display completed work in our portfolio, on our website, and across our social media platforms for promotional purposes, unless the client requests otherwise in writing.
8.3 We may use tools, templates, stock assets, or third-party resources as part of the design and development process. Where applicable, relevant licenses are included or noted in the project handover.
8.4 Ahmad Digital Agencies (Pty) Ltd retains ownership of all preliminary concepts, drafts, and design directions not selected by the client.
9. Website Hosting and Domains
Ahmad Digital Agencies (Pty) Ltd does not provide website hosting or domain registration as part of our standard service. The client is responsible for securing their own hosting and domain. We are happy to provide recommendations. Any issues arising from the client’s chosen hosting provider are outside our responsibility.
10. Post-Launch Support
Where included in the agreed package, post-launch support covers minor content updates and bug fixes only, within the specified support period (typically 1 month from launch). Support does not include new features, redesigns, or changes that fall outside the original project scope. After the support period, ongoing maintenance is available at rates agreed upon separately.
11. Cancellations and Refunds
11.1 The 50% deposit is non-refundable under all circumstances, as it compensates for time, resources, and the project slot reserved for you.
11.2 If you choose to cancel the project after work has commenced, you will be liable for payment of work completed to date, which may exceed the deposit depending on the stage of the project.
11.3 If Ahmad Digital Agencies (Pty) Ltd is unable to complete the project due to circumstances on our end, a fair and proportionate refund of any amounts paid beyond work completed will be issued.
11.4 Refunds are not issued for completed and delivered work that has been approved by the client.
12. Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the course of the project. Ahmad Digital Agencies (Pty) Ltd will not disclose your business information to third parties without your consent, except as required by law or to complete the project using third-party tools and platforms.
13. Limitation of Liability
Ahmad Digital Agencies (Pty) Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website, including but not limited to loss of revenue, loss of data, or loss of business opportunity. Our total liability to the client shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
14. Warranty Disclaimer
We warrant that our work will be completed with reasonable skill and care. We do not guarantee specific business results, search engine rankings, sales volumes, or website traffic as a result of our services. Website performance is affected by many factors outside our control.
15. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the jurisdiction of the South African courts.
16. Dispute Resolution
In the event of a dispute, both parties agree to first attempt to resolve the matter amicably through direct communication. If a resolution cannot be reached within 14 days, the matter may be referred to formal mediation or legal proceedings in accordance with South African law.
17. Amendments to These Terms
Ahmad Digital Agencies (Pty) Ltd reserves the right to update these Terms and Conditions at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our services after any changes constitutes acceptance of the updated Terms.
